Terms of Service

1. About Karnak

Karnak is a digital travel concierge that enables users to discover, plan, and book travel experiences through personalized recommendations and secure integrations with third-party travel providers. While we facilitate bookings, we do not operate or control the travel services themselves.

2. Eligibility & Registration

To use the Services, you must:

• Be at least 18 years old and capable of entering into a legally binding contract.
• Create an account by providing accurate, current, and complete information.
• Maintain the confidentiality of your login credentials and be responsible for all activity under your account.

Karnak may suspend or terminate accounts that violate these conditions or where we suspect unauthorized or fraudulent activity.

3. Use of Services

Subject to your compliance with these Terms, Karnak grants you a limited, non-exclusive, non-transferable license to use the Services for personal, non-commercial purposes.

You agree not to:

• Make false or speculative bookings
• Access or monitor the Services using robots, spiders, scrapers, or automated systems without written permission
• Attempt to gain unauthorized access to the platform or data
• Resell, reproduce, or distribute any part of the Services without consent

Karnak reserves the right to deny access to anyone for any reason, including violation of these Terms.

4. Booking Services

Karnak facilitates bookings for travel-related services (flights, accommodations, activities, etc.) via third-party providers. All bookings are subject to availability and the terms of the respective provider.

By booking through Karnak, you acknowledge:

• We are not the supplier of the travel services, but act as an intermediary
• Bookings are confirmed only when explicitly stated
• Cancellations, refunds, and modifications are subject to third-party policies
• Additional terms, fees, or taxes may apply

5. Payments, Subscription Fees & Charges

5.1 Subscription Model

Karnak operates on a monthly subscription model. The base subscription fee is USD 100 per month (the “Subscription Fee”), unless we notify you of a different rate in writing. Each billing period (the “Subscription Term”) runs from the date you activate your subscription until the same calendar day the following month. Your subscription automatically renews at the then-current Subscription Fee unless you cancel at least 14 days before the next renewal date.

If we increase the Subscription Fee, we will notify you at least 30 days before the next billing cycle. You may cancel your subscription before that cycle if you do not agree to the new fee; otherwise, the new rate takes effect on the next renewal date.

5.2 One-Time Booking Fees & Convenience Charges

In addition to the monthly Subscription Fee, certain transactions (e.g., individual travel bookings) may incur separate, one-time service or convenience charges. These fees, plus any applicable taxes, will be disclosed to you before you confirm any booking or transaction.

All one-time charges are processed through Stripe (or another authorized payment processor). Karnak does not store your credit card details directly.

5.3 Payment Method & Card-on-File Requirement

You must maintain at least one valid payment method (e.g., credit/debit card) on file with our payment processor. If your card expires or is canceled, you must update your payment information before the next billing date. Failure to do so may result in automatic suspension of your subscription and any pending bookings.

By providing a payment method, you authorize Karnak (through Stripe or another authorized processor) to charge your card for the Subscription Fee on each renewal date, as well as any one-time booking fees, taxes, or other charges you incur.

5.4 Pricing Errors

If we discover a pricing error—for example, an incorrectly displayed Subscription Fee or booking rate—we will either honor the lower price or contact you for instructions before proceeding. If the error is obvious and could reasonably be recognized by you as a mispricing, we may cancel the affected subscription or booking, refund any amounts you have paid, and notify you.

5.5 Taxes & Additional Charges

You agree to pay all applicable taxes (e.g., VAT, GST, sales tax) associated with your subscription and any one-time charges. If tax rates change between your transaction date and service delivery date, we may adjust the tax portion of your payment accordingly, unless you have already paid in full.

5.6 Failure to Pay / Suspension

If we cannot charge your payment method for any reason (e.g., expired card, insufficient funds), your subscription and any pending bookings may be automatically suspended. We will attempt to notify you of payment failures by email. You must correct any payment issues within 5 days to avoid cancellation of your subscription.

If you do not pay any overdue amounts within 14 days of notice, Karnak reserves the right to terminate your subscription immediately. No refunds or pro-rated credits will be offered for partial use of a Subscription Term, except where required by applicable law.

6. User Content

If you submit feedback, comments, or other content to Karnak, you grant us a worldwide, royalty-free, perpetual license to use, modify, display, and distribute such content in connection with operating and improving the Services.

You are responsible for any content you provide and must not post anything unlawful, harmful, or infringing on others’ rights.

7. Intellectual Property

7.1 Karnak’s Intellectual Property

All rights (including copyright, trademarks, trade dress, and other intellectual property rights) in and to the Services, Content, logos, designs, software code, graphics, “look and feel,” page layouts, data compilations, and underlying code are owned exclusively by Quantum Temple Inc. (“Karnak”) or its licensors. These rights are protected by copyright, trademark, and other laws worldwide.

Except as expressly authorized in these Terms, you may not copy, reproduce, modify, distribute, display, perform, create derivative works from, or otherwise use any part of the Services or Content for any commercial or non-commercial purpose.

7.2 Limited Personal Use Exception

You may print one copy or download extracts of any page from our Services for your personal, non-commercial reference, provided you do not modify the content and do not remove any copyright or proprietary notices. Any other use requires Karnak’s prior written consent.

7.3 User-Generated Content License

If you submit feedback, comments, reviews, or other content to Karnak (collectively, “User Content”), you grant Karnak a worldwide, royalty-free, perpetual, irrevocable, sublicensable, and transferable license to use, reproduce, distribute, display, modify, and otherwise exploit such User Content in connection with operating and improving the Services.

You represent and warrant that any User Content you provide is accurate, lawful, and does not infringe any third-party rights (including copyrights, trademarks, privacy, or publicity rights). You are solely responsible for your User Content and any consequences arising from its submission.

7.4 Prohibition on Unauthorized Copying

If you copy or download any part of the Services or Content in breach of these Terms, your right to use the Services will terminate immediately. Upon Karnak’s request, you must return or destroy any unauthorized copies you have made.

8. Disclaimers

Karnak provides the Services “as is” and “as available”, without warranties of any kind.

We do not warrant that:

• Bookings will meet your expectations
• Services will be error-free or uninterrupted
• Third-party providers will fulfill their obligations

Karnak is not responsible for changes, cancellations, or issues arising from travel providers, including missed flights, overbookings, or service quality.

9. Limitation of Liability

To the maximum extent permitted by law, Karnak shall not be liable for any:

• Indirect, incidental, special, or consequential damages
• Loss of profits, revenue, data, or goodwill

In no event shall our total liability exceed $100 USD, regardless of the cause or theory of liability.

Some jurisdictions do not allow certain disclaimers or limitations, so these may not apply to you in full.

10. Indemnification

You agree to defend, indemnify, and hold harmless Karnak and its officers, directors, employees, and partners from any claims, losses, liabilities, damages, or expenses (including legal fees) arising from:

• Your use of the Services
• Your breach of these Terms
• Your violation of any third-party rights

11. Termination & Suspension

11.1 Termination by Karnak

Karnak may suspend or terminate your subscription and/or access to the Services immediately, without notice, if we reasonably determine that any of the following events occurs:

• You materially breach these Terms (e.g., non-payment of Subscription Fees or unauthorized use of the Services).
• Karnak suspects fraudulent or unauthorized activity in connection with your account.
• You violate any applicable law, regulation, or third-party right while using the Services.
• You infringe Karnak’s intellectual property rights or confidentiality obligations.
• Any event beyond Karnak’s reasonable control makes continued performance impracticable.

11.2 Termination by You

You may terminate your subscription immediately if any of the following occurs:

• Karnak notifies you of a material change to these Terms and you notify Karnak in writing before the change’s effective date that you do not agree to the change.
• Karnak suspends or materially reduces the Services for technical reasons for more than 60 consecutive days.
• You have any statutory right to terminate under applicable law (for example, consumer-protection statutes under England and Wales law).

11.3 Effect of Termination

Upon termination (for any reason), your right to access and use the Services ends immediately.

Termination does not relieve you of any outstanding payment obligations or liability for any past breaches of these Terms.

Sections 6 (Use of Services), 7 (Intellectual Property & User Content), 8 (Disclaimers), 9 (Limitation of Liability), 10 (Indemnification), 12 (Account and Data Deletion), 13 (Dispute Resolution & Arbitration), and 17 (Miscellaneous) survive any termination or expiration of these Terms.

12. Account and Data Deletion

You have the right to request deletion of your Karnak account and associated personal data at any time. Upon receiving a valid request, we will:

• Delete your user account, removing access to our Services.
• Permanently delete or anonymize all personal data associated with your account, unless we are required to retain it under applicable law (e.g., for tax, fraud prevention, or legal obligations).
• Confirm the deletion via email once the process is complete.

To request account and data deletion, please email us at hello@karnak.co using the subject line: “Data Deletion Request”. For verification, we may ask you to confirm your identity before processing the request.

Please note:

• Deletion is permanent and cannot be undone.
• Some booking- or transaction-related data may be retained temporarily or permanently by third-party providers (e.g., Stripe, hotels, airlines) according to their own privacy and legal policies.

13. Third-Party Services

The Services may include content or tools provided by third parties (e.g., Stripe, travel APIs, AI technologies). Your use of these components may be subject to additional terms and privacy practices not controlled by Karnak.

14. Governing Law and Dispute Resolution

14.1 Governing Law

These Terms are governed by and construed in accordance with the laws of England and Wales, without regard to its conflicts of law principles.

14.2 Arbitration

Any dispute, claim, or controversy arising out of or relating to these Terms, your subscription, or the Services, including any question regarding their existence, validity, or termination, shall be finally settled by arbitration administered by the International Chamber of Commerce (“ICC”) in accordance with the ICC Rules of Arbitration.

The seat of arbitration shall be London, England. The arbitration shall be conducted in the English language. The arbitral tribunal shall consist of a single arbitrator appointed in accordance with the ICC Rules.

The parties expressly waive any right to initiate or participate in any class action or consolidated proceeding relating to any dispute under these Terms.

14.3 Interim Relief

Nothing in this Section 14 prevents Karnak from seeking interim or injunctive relief in any court of competent jurisdiction if, in Karnak’s reasonable judgment, such action is necessary to protect its rights or property.

16. Changes to These Terms

16.1 Entire Agreement

These Terms (together with our Privacy Policy) constitute the entire agreement between you and Karnak regarding the Services and supersede all prior or contemporaneous oral or written agreements, commitments, or understandings.

16.2 Severability

If any provision of these Terms is held invalid, illegal, or unenforceable by a court of competent jurisdiction, that provision shall be modified or severed to the minimum extent necessary to make it enforceable, and the remaining provisions will remain in full force and effect.

16.3 No Agency or Partnership

Nothing in these Terms creates a partnership, joint venture, or agency relationship between you and Karnak. You may not bind Karnak to any contract or agreement. Karnak may assign or transfer its rights and obligations under these Terms to any affiliate or successor in interest, provided that such entity continues to honor your rights under these Terms. You may not assign or transfer any of your rights or obligations without Karnak’s prior written consent.

16.4 Waiver

No failure or delay by Karnak in exercising any right under these Terms will operate as a waiver of that right or any other right. A waiver must be in writing to be effective.

16.5 Notices

Any notices or communications required or permitted under these Terms must be in writing and sent to the email address associated with your account or to hello@karnak.co. Karnak may change its email address for notices by updating these Terms or via an in-app notification.

16.6 Force Majeure

Karnak will not be liable for any delay or failure to perform any obligations under these Terms if such delay or failure results from events beyond Karnak’s reasonable control, including but not limited to acts of God, governmental actions, war, riots, strikes, or disruptions to telecommunications.

16.7 Changes to These Terms

We may revise these Terms at any time. If we make material changes, we will provide at least 30 days’ notice via email and/or in-app notification. Your continued use of the Services after the effective date of any revision constitutes your acceptance of the revised Terms.
